GENERAL TERMS AND CONDITIONS OF SALE AND USE OF DEMAT'BOX® CONNECT SERVICES

1. Presentation

Plustek Technology Inc. (hereinafter "Plustek") offers its professional customers certain document dematerialization services (the "Services"), as more specifically defined below. The Services are performed remotely via the Internet.

The Services are accessible from Plustek's Cloud Document Scanner (as hereinafter defined as the "Demat'Box®").

The association of the Demat'Box® with the Client's account (as hereinafter defined as the "User Account"), as well as the personalization of the Services is carried out from the Demat'Box® Connect portal at the following address: https://connect.us.dematbox.com (as hereinafter defined as the "Portal").

The purpose of these general terms and conditions of sale and use (hereinafter the "General Terms and Conditions") is to specify the legal conditions applicable to the use of the Services. Plustek may modify or revise the Terms and Conditions at any time.

The Services offered by Plustek are standard products for professional use, designed to satisfy the needs of the greatest number of Customers. As such, it is the Client's responsibility to ensure that the Services are suitable for its own needs and to assess the opportunity to use the Services and other services offered.

These General Terms and Conditions take precedence over any other document appearing on the Portal.

2. Acceptance of the Terms and Conditions

The use of the Services and the Portal implies that the Client accepts without restriction these General Terms and Conditions, as well as the information contained on the Portal, and undertakes to comply with them. To this end, the Client will be invited to check the "I accept" box on the Portal, prior to any agreement with Plustek. These Terms and Conditions contain all rights and obligations of Plustek and the Client in connection with the latter's use of the Services.

Plustek may make changes to these Terms and Conditions at any time. It is the Client's responsibility to regularly review these Terms and Conditions as the Client's use of the Portal acknowledges receipt of the Client's agreement.

In accordance with the provisions of Article 1127-1 of the Civil Code:

1. these General Terms and Conditions may be consulted and stored by any person visiting the Portal, by means of a computer recording and may also be reproduced by the Internet user, by means of their printing.

2. these General Terms and Conditions will be applicable for as long as they appear on the Portal. In the event that, after the date of their removal from the Portal, these General Terms and Conditions nevertheless remain accessible to the public via other websites or by any other means, they will no longer be enforceable against Plustek.

3. Definitions

Portal : refers to all the pages and documents available on the Demat'Box® Connect portal at the following address: https://connect.us.dematbox.com.

Demat'Box® : refers to any Cloud document scanner compatible with the Services platform offering the possibility of digitizing and transferring the result of this digitization to Dematerialization Operators.

Demat'Box ® System : refers to the Customer data capture system offered by Plustek, including the Demat'Box®.

Customer(s): Plustek's business customer(s) using the Services.

User(s): means any employee of the Customer authorized by the Customer to use the Services.

Authorized Personnel : means employees, agents, representatives or contractors of Plustek whose access to the Customer's data and information is required for the proper execution of orders and Services.

User Account(s ): refers to the account opened by the Client on the Portal, allowing user to connect to it and access the Services offered by the Portal.

Customer Data(s ): refers to all documents subject to the Services, excluding the Client's identification data (personal data), transmitted by the Client to Dematerialization Operators for their use, storage, or archiving.

Service(s): refers to all the services offered on the Portal, including all services included in the offers and the Value-Added Services as defined below.

Value-Added Service(s ): refers to the services offered on the Portal, the use of which is subject to a fee, and therefore implies the activation of Options by having previously subscribed to the Demat'Box® Connect Subscription.

File(s): refers to a set of places where Customer Data is deposited, each File being configured by the Customer with the Services offered on the Portal.

Crystal Image Service : refers to the Value-Added Service accessible on the Portal, provided to the Client by Plustek, allowing digital processing to be carried out to facilitate the use of these images and to transfer the result to a Dematerialisation Operator.

OCR Service : refers to the Value-Added Service accessible on the Portal, provided to the Client by Plustek, allowing optical character recognition of the transferred images to be carried out and the results to be transferred to a Dematerialization Operator.

Mail Collection Service : refers to the service accessible on the Portal allowing the sending of documents in PDF format by email.

Demat'Safe Service : refers to the service accessible on the Portal allowing retransmission attempts to be made for up to 3 days instead of 20 minutes. Once the documents have been transmitted, or if the attempts are still unsuccessful after 3 days, the documents are permanently deleted.

Dematerialization operator(s): refers to a third-party company offering dematerialization services (e.g. Google for its Google Drive service, and etc).

Partner(s): refers to a third-party company (i) providing Services or (ii) the Stripe payment service operating the Online Store.

Third-Party Site(s ): refers to the websites and/or services owned or operated by third-party companies, namely Partners and Dematerialization Operators, within the framework of or in connection with the Services, to which the Portal refers through links.

Online Store : refers to the online store allowing the purchase of a subscription to a commercial offer and/or the invoicing of the Options proposed in the offers according to the Payment Methods offered by the Stripe payment service.

Option(s): means any option(s) offered by Plustek on the Portal allowing the Client to activate one or more Value-Added Service(s).

Demat'Box® Connect Subscription(s ): refers to the subscription subscribed to by the Client and invoiced monthly according to the offer subscribed to, and the Option(s) activated by the latter on the Portal. The payment of the subscription will consist of a monthly debit in arrears. Every month started is due.

Means of Payment: refers to the terms of payment for subscriptions and Options proposed in the offers. Payments can be made by credit card or direct debit. Direct debits authorized by the Customer's bank take place on the first day of the following month.

4. Conditions of access to the Services

The Services are exclusively reserved for professionals. The Client represents and warrants that it meets this condition.

The Client undertakes not to be a direct competitor of Plustek and not to develop services in competition with Plustek, except with the prior written consent given by Plustek. The Client also agrees not to access the Services for the purpose of monitoring their availability, performance or operation, or for any other benchmarking or competitive evaluation purposes, unless prior written consent is given by Plustek.

The use of the Portal and the Services is subject to the opening of a User Account. The opening of a User Account requires the Client to enter a certain amount of information in the online registration form, in particular a username (the Client's email address), a password (a unique set of characters entered by the Client during registration) to access. In the event that the Client wishes to upgrade the offer, user must register additional information and in particular a means of payment.

The entry of the username and password will be required each time you use the Portal. Access to a User Account is available 24 hours a day, 7 days a week, except in cases of force majeure, maintenance or interruption of the Portal.

This information is stored and accessible in the "My settings" section, which appears each time the Client opens his User Account. The Client represents and warrants that the information it enters is accurate, complete and up-to-date. The username and password are strictly personal and confidential. The Client undertakes not to disclose or transfer them to a third party. In the event of forgetting a username and/or password or in the event of deactivation of a User Account, the Client is exposed to the permanent loss of the data stored on the Portal. The opening of a User Account is free of charge but all costs of connection to the Portal are the responsibility of the Client. The use of the Services is done through the Demat'Box®

Once associated with the User Account, the Demat'Box® can be used without requiring a connection to the Portal. However, a connection to the Portal will be necessary if the Client wishes to modify the personalization of its Services, and/or activate Options, and/or subscribe to the Demat'Box® Connect Subscription.

Access to the Services implies that the Client and the Client Data comply with the technical requirements listed on the Portal. Otherwise, Plustek cannot be held liable for any malfunctions or total or partial non-functioning of the Services.

5. Conditions of access to Value-Added Services:

The Value-Added Services are accessible through the purchase of a offer on the Portal, and/or the activation of Options on the Portal, via a payment made as defined in the Payment Methods.

To activate the various Options, the Customer must first have subscribed to the Demat'Box® Connect Subscription. The Value-Added Services will be available immediately after activation of the Options.

The OCR Value-Added Service is accessible by subscribing to an offer offered on the Portal.

The Crystal Image Value-Added Service is accessible by subscribing to an offer offered on the Portal.

6. Subscription to the Demat'Box® Connect Subscription and the offers offered on the Portal - Prices - Payment

6.1 Rates

Plustek reserves the right to change the prices detailed below at any time. Any changes to these rates will be posted on the Portal.

6.2 Invoicing - Payment

Invoicing and secure online payment are operated by the Stripe Partner, on the Online Store. The Online Store is governed by Stripe's terms and conditions. If the Customer does not accept these general terms and conditions, they must not take out the Demat'Box® Connect Monthly Subscription. To the fullest extent permitted by applicable law, Plustek assumes no responsibility for the online invoicing and payment processes on the Online Store.

The Customer acknowledges that the communication of information relating to his Payment Methods and the validation of these constitutes authorization to debit his bank account in favor of Stripe, up to the total amount of his order, including fees and tax (if applicable). For the Demat'Box® Connect Subscription, the direct debit will be made monthly, by credit card or by direct debit. The first direct debit will be $1 USD to verify the Client's bank details.

It is the Customer's duty to update their bank information registered on Stripe. If the Customer's bank information is not up to date and Stripe is unable to debit the Demat'Box® Connect Subscription and monthly consumption, the Portal will display messages allowing the Customer to renew its payment method. An automatic calculation of arrears is carried out. The full amount of arrears will be deducted on the next billing attempt. Plustek reserves the right to suspend a User Account whose arrears are deemed to be too great. The Client will be contacted by the sales department. The User Account may be reactivated as soon as a payment method is validated.

7. Schedule of Services - Terms specific to certain Services

Plustek reserves the right to make promotional offers and will inform the Customer thereof.

8. Rules for Internet Use

The Client declares that it accepts the characteristics and limitations of the Internet and in particular, declares that it acknowledges that:

(i) it is solely responsible for the use and any exploitation it makes of the Customer Data and the information contained in the said Customer Data and that Plustek shall not be held, by reason of any express or tacit obligation, as civilly liable to the Customer, for any direct or indirect damage arising from the use of the said Customer Data and/or information;

(ii) it is aware of the nature of the Internet, in particular its technical performance and response times for consulting, querying or transferring said Customer Data and/or information;

(iii) the communication by the Client of its personal identification elements or in general of any information deemed by the Client to be confidential is made under its own responsibility;

(iv) it is the Customer's responsibility to take all necessary measures to ensure that the technical characteristics of its computer allow it to consult the said Customer Data and/or information;

(v) it is the Client's responsibility to take all appropriate measures to protect its own data and/or software(s) from contamination by any viruses circulating through the Connect Portal.

9. Obligations of Plustek

9.1 License to Use

Plustek grants the Client, during the subscription period of the offers offered on the Portal, a limited, non-transferable and non-exclusive license of use to access and use the Services via the Internet.

9.2 Services offered

Plustek undertakes to use all reasonable means to provide the Client with the Services, as defined in these Terms and Conditions, subject to the Client's compliance with its contractual obligations. Plustek cannot guarantee a level of quality and/or Services that are durable and/or free of any defects, defects or interruptions in operation.

9.3 Modification of the Services

Plustek has no obligation to improve the Services. In the event that Plustek decides to improve or modify the Services, the Client agrees in advance to use these new versions of the Services.

9.4 Online Support

The Value-Added Services include an email support service (support@plustek.com ) for the purpose of resolving incidents affecting the Services.

The Customer may also access an advanced online assistance service (hereinafter the "Hotline") allowing access to a Plustek advisor by telephone at (714) 670-7713 (price of a local call from United States).

With the exception of public holidays or in the event of interruption of the Portal and/or Services, the online support service is available from Monday to Friday from 9 a.m. to 5 p.m. PST time. Plustek reserves the right to change these times.

Email support only covers incidents that are directly attributable to the Services. Incidents affecting the Client's computer equipment, the Client's IT environment or its telecommunications network are not covered by email support.

Before submitting a support request by email to Plustek, the Customer undertakes to implement by itself all means that it is reasonable to expect from it to try to correct errors, bugs, malfunctions or defects in the network connection, as well as to respond, at its own expense, to any questions or complaints addressed to it by its own customers.

Plustek warrants that email support will be provided in a proper manner, but does not warrant that such support will resolve the difficulty encountered or that the difficulty will not recur or that no new difficulties will be generated by email support. In the event that this assistance does not resolve the difficulty(s) encountered by the Client, it will be up to the Client to prove that Plustek has not complied with the rules of the art in this area.

Plustek reserves the right not to respond to a request for support by e-mail that does not comply with the conditions stipulated in this article.

9.5 Sustainability of Customer Data

Plustek undertakes to take all measures in accordance with the rules of the art to guarantee the durability of Customer Data, in particular by regularly backing it up.

9.6 Computer Security

Plustek undertakes to take all measures in accordance with the rules of the art to guarantee the computer security of its Services, in particular against the risks of computer intrusion or viruses.

10. Obligations of the Client

10.1 Payment of Demat'Box® Connect Subscriptions taken out

The Customer undertakes to pay for the Demat'Box® Connect Subscriptions subscribed to at the rates in force.

10.2 Administration, Security and Privacy Rules

The Client agrees to comply with (and is committed to ensuring compliance by Users) with the following administrative, security and confidentiality rules:

1. It is forbidden to log in to the Services under a false identity or with the account of a third party.

2. It is forbidden to create User Accounts by automated means, under false pretenses or by fraudulent means.

3. You may not make any modifications, adaptations, translations or reverse engineering of any part of the Services or Software.

4. It is forbidden to use the Services in order to carry out illegal file sharing.

5. It is forbidden to transmit to the Services any content that is pornographic, incites hatred or violence, or that presents materials, products or services that violate criminal law, other applicable laws or the rights of third parties, or incites behavior that would violate criminal law, other applicable laws or the rights of third parties.

6. The Customer is obliged to notify Plustek without delay of any breach of the security system of the Services, including, without limitation, in case of unauthorized use of its password or User Account.

7. The Customer shall, to the extent permitted by applicable laws, notify Plustek if it receives a subpoena or any other request for legal information that involves information from the Services or Plustek.

8. The Client is solely responsible for the safekeeping of the access codes given to it and undertakes that no other person not authorised by Plustek has access to the Services.

9. The Client assumes responsibility for the security of individual workstations accessing the Services.

10. The Client agrees not to use the Services for any unlawful purpose.

11. Customer agrees not to engage in any activities that may interfere with or interrupt the Services or servers or networks connected to the Services.

12. With respect to the Mail Connector, Customer agrees to use the Mail Connector only to send to a recipient who accepts and expects to receive scanned documents and to send only documents that are compatible with the Amazon Web Services AWS Acceptable Use Policy attached as Appendix 1.

13. With regard to the OCR Service, the Client undertakes to comply with the Specific Terms and Conditions applicable to the use of the OCR Service (where the term "You" refers to the Client) attached in Appendix 2.

10.3 Administration of the Services by the Client

Customer is solely responsible for administering the Services. Accordingly, the Client acknowledges and agrees that Plustek shall not be liable in any way for the acts or omissions of the Client in connection with the administration of the Services.

10.4 Legality of the data transmitted to Plustek

The Client is solely responsible for the Client Data, its collection, transmission and/or updating. Customer warrants that such Customer Data does not violate the rights of any third party, including intellectual property rights. More generally, the Client guarantees that the Client Data does not violate any legislation in force.

11. Personal data

Plustek undertakes, in the context of the collection and processing of personal data, to comply with the provisions of Regulation 2016/679/EU of 27 April 2016 "on the protection of natural persons with regard to the processing of personal data and on the free movement of such data".

Plustek processes personal data for the purpose of opening the User Account, managing its business relations with its Customers, and providing and managing the Services.

The personal data collected that is essential for the operation of the Services are: the Client's surname, first name, or identifier, the Client's email address.

Each User may freely provide personal data to personalize their interface. This personal data is not processed by Plustek in any way, with the exception of storage, and it may be deleted by the Customer at any time.

In addition, in the event that personal data is included in the Customer Data as transmitted by the Customer, the Customer acknowledges that such personal data will not be processed by Plustek.

In the event of the implementation of additional Services (such as the sending of newsletters), Plustek may be required to obtain the Customer's consent, it being specified that the Customer may withdraw it at any time, via its account settings. In the event of withdrawal of consent, the Client is informed that he will no longer be able to continue to use the Additional Services.

In accordance with the provisions of the aforementioned Regulation, the Client has the right to query, access, rectify, delete, limit, portability and oppose for legitimate reasons such processing, in relation to all of the said personal data concerning him/her, it being understood that all the data processed by Plustek are accessible in the settings of the User Account.

The Client may exercise these rights, subject to proving their identity, by e-mail at the address support@plustek.com or by post to the company Plustek for the attention of the DPO (Data Protection Officer), at the address 10395 Slusher Drive, Unit 1, Santa Fe Springs, CA 90670 .

In the event of use of the Online Store or the Demat'Box® Services, Plustek specifies that it does not transmit any personal data of the Customer collected in the context of the aforementioned processing.

1/ In the event of the use of a Service of a Dematerialization Operator, Plustek undertakes to collect only the following personal data:

Ř For operating services such as Google Drive, Dropbox, Evernote, Box, and other major cloud services

- Customer's name, Customer's first name, User Account name and storage quotas;

- Upload files with their trees (creation of subdirectories).

The Client's first and last name is used to identify the name of the Client's account associated with the File(s). The storage quota is used to determine whether there is space left to write Customer Data to the relevant account of the Customer.

Ř For Services such as FTP:

- Login and password of the FTP user;

- Upload files with their trees (creation of subdirectories).

2/ In the event of the use of the mail connector, Plustek undertakes to collect only the following personal data:

- Email addresses of recipients;

- Upload files as attachments to emails sent to its recipients.

3/ In the event of use of the Business Collectors Service, Plustek undertakes to collect only the following personal data:

- Login and password of billing user accounts

- Upload of files and transfer to the Dematerialization Operator.

The personal data referred to in points 1/ to 3/ above are stored in Plustek's databases.

Plustek will only have write access to the Client's accounts with such Dematerialization Operators. The upload of the files is only sent to the recipient and is kept by Plustek only if the source is a collector, to ensure the proper functioning of the viewing and rebroadcasting service. No reading and/or retrieval of the information stored in the said accounts may be made by Plustek.

12. Links to other websites

Access to and use of Third-Party Sites is subject to the terms of use specific to such Third-Party Sites. Plustek provides the Customer on the Portal with links to such Third-Party Sites only for convenience. Plustek has no control over these Third-Party Sites.  The Customer acknowledges and agrees that Plustek (i) assumes no responsibility for the availability of Third-Party Sites; (ii) assumes no responsibility for the content, products, services or any elements presented or available on such Third-Party Sites and (iii) shall not be held liable, directly or indirectly, for any damage or loss caused or alleged to have been caused, by or in connection with access to or use of such Third-Party Sites.

13. Cookies

The Client is informed that for the use of the Services, session cookies may be stored during the session. The sole purpose of this cookie is to enable or facilitate browsing and will be deleted when you close your browser.

Through the configuration function of their Internet browser, the Customer can object to the installation and use of cookies.

Plustek informs the Client that the deletion of cookies may alter browsing on certain parts of the Portal.

14. Intellectual Property

The Portal, the Services, the contents and, more generally, any information and element appearing on the Portal are protected by intellectual property law and remain the exclusive property of Plustek, its Partners or assigns. Any representation or reproduction, in whole or in part, any translation, adaptation, modification or any other use of the Portal or the Services made without the consent of its owner or its assigns is illegal.

The rights granted to the Client are granted exclusively for professional use in compliance with these General Terms and Conditions. The Client shall refrain from any commercial or profit-making exploitation of all or part of the Portal or the Services. The Client undertakes to notify Plustek, without delay, of any infringement action or any other action against Plustek's rights in the Services and/or their use of which it becomes aware.

The Client undertakes not to infringe, directly or indirectly, the rights held by Plustek, and consequently refrains in particular from:

1. To allow the use of the Services or Software by any third party by any means. In particular, the Client shall refrain from assigning, lending, renting, licensing or sub-licensing and, more generally, from commercially exploiting the Services or Software.

2. Proceed with any reproduction, even partial, of the Software.

3. To carry out any adaptation, translation, transformation, merger and, more generally, any modification of the Software in any way and for any reason whatsoever, including to correct any errors in the Software, the Client expressly agreeing to reserve this right to Plustek.

4. Create a product or service that competes with the Services or Software that incorporates ideas, functions, or graphics similar to the Services or Software.

5. Analyze the source code and object code of the Services Software for any purpose and at any time.

PLUSTEK, DEMAT'BOX®, DEMAT'GO,® DEMAT'COLLECT, DEMAT'SAFE®, DEMAT'LINK®, or any other trademarks appearing on the Portal are trademarks of Plustek or its licensors. All trademarks and product names of other companies appearing on the Portal are protected by intellectual property law and remain the exclusive property of their respective companies.

The Client grants Plustek a limited, non-exclusive licence, during the period of validity of the Options, to use the Client's intellectual property rights, including its trademarks and distinctive signs, for the purpose of performing the Services.

The Customer warrants that the Customer Data does not infringe any intellectual property rights or other rights of third parties, and accordingly indemnifies Plustek against any action, claim, demand or opposition by any third party alleging such infringement on all or part of the Customer Data. This warranty is granted notwithstanding the full and complete compensation of the damage suffered by Plustek.

15. Liability

Plustek is bound by an obligation of means in the execution of orders and the provision of Services.

Plustek only makes a commitment to the Customer. Plustek does not make any commitments to third parties.

Access to and use of the Portal and Services is the sole responsibility of the Client. The Client acknowledges and agrees that the Services are provided to the Client on an "as is" and "as available" basis. To the maximum extent permitted by law, Plustek disclaims all warranties of any kind, express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Plustek does not warrant that access to the Portal and/or Services will be uninterrupted, secure, or error-free.

Plustek's liability is, in any event and for all reasons combined, capped at the net amount paid by the Client to Plustek in respect of the order in question.

The Client acknowledges and accepts that under no circumstances will Plustek be entitled to compensation for indirect and/or immaterial or moral damages (including but not limited to, financial or commercial losses such as loss of profit, loss of order, operating loss, loss of data, loss of earnings, damage to the image, etc.). increased costs and other overheads) as well as damages of the same nature resulting from a claim brought against Plustek by the Client for damages suffered by a third party.

The Client acknowledges and accepts that Plustek shall not be liable under any circumstances for any direct or indirect damages (including but not limited to financial or commercial losses such as loss of profit, loss of order, operating loss, loss of data, loss of profit, damage to image, increased costs and other overheads) resulting from access to (or inability to access) the Portal and/or the Services, their contents and/or information obtained from the Portal related to the Services, or their use (or inability to use).

Similarly, the Client acknowledges and accepts that Plustek cannot be held liable in the event of non-performance or delay in performance resulting, in whole or in part, by the Client, from a case of force majeure or any other event likely to prevent the normal performance, by Plustek, of its obligations as defined in these General Terms and Conditions, including but not limited to, total or partial strike, internal or external to Plustek, interruption of energy supply, blocking or malfunctioning of telecommunications networks, computer intrusion or hacking, computer virus, intervention by civil or military authorities, natural disasters, fires, water damage, acts of terrorism, health alerts.

16. Subcontracting - Assignment

Plustek may call upon any subcontractor of its choice and may assign the contract to any company or person who replaces it, the assignee undertaking to be fully responsible for the rights and obligations arising therefrom.

17. Termination? Suspension of Services? Deactivation of the User Account

The Client may terminate his/her Demat'Box® Connect Option(s)/Subscription at any time by deactivating the Options directly from the Portal.

In the event of non-compliance by the Client with these General Terms and Conditions, Plustek may send the Client a notification giving the Client formal notice to remedy this breach. In the event of a formal notice that has remained ineffective for a period of eight (8) days, or in the event of a new breach, Plustek may, by operation of law and without legal formalities, with immediate effect, deactivate the User Account and/or terminate the contract, without prejudice to any damages to which it may be entitled as a result of such breach.

Notwithstanding the above, any fraudulent use of the Portal or Services, usernames and passwords, any use of the Portal or Services that may give rise to civil and/or criminal liability will result in the right for Plustek to close the User Account and terminate the contract, with immediate effect, without prior notice of default and without prejudice to the right to compensation to which Plustek may be entitled.

Any termination for the reasons mentioned in the preceding paragraphs will entail the definitive suspension, for the Client, of the Options activated on his User Account, without the Client being able to claim any refund or compensation in this respect.

With regard to the return of Customer Data, Plustek is not bound by any obligation or liability in this respect. It is the Client's responsibility to request the return of its Client Data directly from the Dematerialization Operators concerned.

18. Miscellaneous provisions

The Client authorizes Plustek to use its name or company name, its logo and/or its trademarks for the purpose of ensuring the internal or external promotion of the Portal, its products, the Demat'Box® and/or the Services. Plustek may request the Client's collaboration for any communication action, press release or request for a testimonial.

The Portal, the Services and the terms and conditions of their use are governed by United States law, regardless of the place of use. In the event of a possible dispute, and after the failure of any attempt to find an amicable solution, the United States courts will have sole jurisdiction to hear this dispute.
